SAM, Khaitan, Davis Polk & Wardwell act on FMC India’s USD 252 mn acquisition by Crystal Crop Protection

The transaction contemplates divestment of 100% stake of FMC India upfront along with preferred access to FMC India post sale to certain pipeline products of FMC India as per pre-agreed terms.
Advt In July 2025, FMC announced its decision to divest its crop protection commercial business in India, allowing the company to adopt a new go-to-market strategy in the country while reallocating resources toward its highest-growth global opportunities.
The transaction is expected to close by the end of 2026, subject to regulatory approvals and customary closing conditions. FMC plans to use the entire proceeds from the sale to reduce its debt.
